Cher Convention Foundation Bylaws
The name of this organization shall be Cher Convention Foundation.
The objective of this organization shall be to have a convention every other year for Cher fans to meet, with all proceeds going to the Children's Craniofacial Association.
Section 1: The policy of this club is not to discriminate against any individual because of race, age, color, religion, disability, ancestry, national origin or place of birth and shall take action to ensure that individuals having any form of interaction with the Organization are treated without regard to their race, age, color, religion, disability, ancestry, national origin or place of birth. This action shall include but not be limited to the officer’s criteria of the Foundation.
Section 2: This organization shall never have any capital stock. No part of its earnings shall inure to the benefit of any individual. None of the property of the organization, real or personal, shall be used or expended except in the accomplishment of its legitimate aims and purposes.
Section 3: The Cher Convention Foundation hereby elects to send its income to The Children's Craniofacial Association for deposit directly into their bank account, and to submit bills to help cover costs of presenting this convention as provided in Internal Revenue Service Regulations.
The principal office of the organization in the State of Illinois shall be
located in the city of Chicago, County of Cook. This organization may have such
other offices, either within or without the State of Illinois, as the Officers
may determine, or as the affairs of the organization may require from time to
Amendment: The principal office of the organization is in the process of being changed to the State of Texas.
Section 1: Officers of the Cher Convention Foundation shall consist of President, Vice President, Secretary, and Treasurer. Officers of the Cher Convention shall consist of President, Vice Presidents, Secretaries, Treasurer. These shall all be voting members. In the event that one person holds more than one office, that person shall have one vote.
Section 2: The purpose of the Cher Convention Foundation officers shall be to support and promote the Cher Convention and its committees, and any fund raisers, and each officer shall have the power to transact all business of the Cher Convention and its fund raisers that may be necessary to act upon.
Duties of Officers
Section 1: The President shall preside at all meetings. The President shall appoint the offices of Vice President, Secretary, and Treasurer, and shall appoint all special committees for the Cher Convention as necessary.
Section 2: The Vice President shall serve as aide to the President, and perform any other duties assigned by the President.
Section 3: The Secretary shall conduct the correspondence of the Organization as directed by the President and have custody of all letters as designated.
Section 4: The Treasurer shall act as collector and custodian of all funds of the Organization which shall be deposited directly into The Children's Craniofacial Associations' bank account and paid out upon authorization of the President and himself or herself. He or she shall present a financial report to the Officers and the Children's Craniofacial Association, and is to update that report monthly, and shall prepare a financial statement. The Treasurer shall perform other duties as may be assigned by the President.
Section 1: The Officers of this organization shall meet approximately once every four weeks unless otherwise decided.
Section 2: A quorum of the Foundation shall consist of two members.
Section 1: There shall be the following Standing Committees for the Cher Convention: Auction, Awards, Banquets, Children's Craniofacial Association, Fan Registration, Events, Films - Movies & TV, Games, Hotel, Shows, Media, Museum, Music - DJ & Karaoke, Photography, Production, Publicity, Seminars, Sponsors, Vendors, Website, and any other committees assigned by the President.
Section 2: The Chairmen of all the above named Standing Committees for the Cher Convention and any special committees do not have voting privileges unless they hold the offices of President, Vice President, Secretary, or Treasurer of the Cher Convention Foundation.
Amendments to Bylaws
The Bylaws of the Cher Convention Foundation may be amended at any time deemed necessary by the Officers by a two-thirds vote. A quorum for this organization shall consist of two members.
